Moscow, Russia, 15 March 2021 \u2013 <\/strong>PJSC Detsky Mir (\u201cDetsky Mir\u201d or the \u201cCompany\u201d, MOEX:  DSKY), announces the results of its Extraordinary General Meeting of Shareholders (EGM), which took place on 12 March 2021.<\/p>\n

Detsky Mir\u2019s shareholders have elected a new Board of Directors, composed of five independent directors, four representatives of majority shareholder Gulf Investments Limited (Altus Capital), and one non-executive director:<\/p>\n

  1. Anischenko, Andrey Anatolievich (independent director, new to the Board) \u2013 entrepreneur and investor in digital education services and marketing;<\/li>\n
  2. Foss, Michael (independent director, new to the Board) \u2013 co-founder and member of the Board of Directors of Independent Pet Partners Holdings LLC (a U.S. pet supplies retail chain);<\/li>\n
  3. Gordon, Maria Vladimirovna (independent director, new to the Board) \u2013 member of the Supervisory Board of PJSC Moscow Exchange, member of the Board of Directors of PJSC Polyus and member of the Supervisory Board of PJSC ALROSA;<\/li>\n
  4. Grachev, Pavel Sergeevich (new to the Board) \u2013 CEO of PJSC Polyus;<\/li>\n
  5. Klenov, Dmitry (new to the Board) \u2013 Director of UFG Investment Services Limited, Director of Altus Capital Management Limited;<\/li>\n
  6. Klimanov, Vladimir Gennadievich (new to the Board) \u2013 Investment Director of Veta Capital Partners LLC;<\/li>\n
  7. Kotomkin, Stanislav Valerievich (independent director) \u2013 co-founder of AMF \u2013 International Flowers Delivery Network;<\/li>\n
  8. Maher, Tony \u2013 Chairman of the Board of Directors of PJSC Progress, member of the Board of Directors of MD Medical Group;<\/li>\n
  9. Shevchuk, Alexander Viktorovich (independent director) \u2013 Executive Director of Association of Institutional Investors (API);<\/li>\n
  10. Stiskin, Mikhail Borisovich (new to the Board) \u2013 Deputy CEO for Economics and Finance of PJSC Polyus, Senior Vice President for Finance and Strategy of Managing Company Polyus LLC.<\/li>\n<\/ol>\n

    The Chairperson of the Board of Directors, as well as members of the Board committees will be determined at the next meeting of the Board.<\/p>\n

    The EGM also approved the amended Regulations on Remuneration and Compensation Paid to the Members of the Company\u2019s Board of Directors. In accordance with the new version of the document, all Board members will be remunerated, with the exception of the Company\u2019s executive body members.<\/p>\n
