THE RESULTS OF ANNUAL GENERAL MEETING OF SHAREHOLDERS OF PJSC \u201cDETSKY MIR\u201d<\/strong><\/p>\n

23 <\/strong>May<\/strong> 2018. Moscow, Russia. \u2013 <\/strong>Detsky Mir PJSC (“Detsky Mir” or “the Company”) \u2013<\/strong> Russia\u2019s largest specialized children’s goods retailer, announces the results of its Annual General Meeting of Shareholders (AGM) that took place on May, 18, 2018.<\/p>\n

The General Meeting of Shareholders passed the following resolutions:<\/p>\n

1. Distribution of RUB 2.9bn in dividends for FY 2017 (RUB 3.88 per one ordinary share). The list of persons entitled to dividends will be made on May, 29, 2018.<\/p>\n

2. Election of the Board of Directors of PJSC Detsky Mir as follows:<\/p>\n

1. Christopher Baxter;<\/p>\n<\/p>\n

2. Vitaly Vavilov;<\/p>\n<\/p>\n

3. Alexey Katkov;<\/p>\n<\/p>\n

4. Tony Meyer; <\/p>\n<\/p>\n

5. Alexander Shulgin;<\/p>\n<\/p>\n

6. James McArtur;<\/p>\n<\/p>\n

7. Alexander Shevchuk;<\/p>\n<\/p>\n

8. Olga Ryzhkova;<\/p>\n<\/p>\n

9. Gevork Sarkisyan;<\/p>\n<\/p>\n

10. Vladimir Chirakhov.<\/p>\n<\/p>\n

3. Approval of the Annual Report and Financial Statements for FY 2017 and revised Charter of PJSC Detsky Mir.<\/p>\n

4. Election of CJSC Deloitte and Touche CIS as auditor of the RAS and IFRS Financial Statements of Detsky Mir for FY 2018<\/p>\n

5. Election of the Audit Review Commission as follows:<\/p>\n

1. Marina Zhuravleva;<\/p>\n<\/p>\n

2. Nadezhda Voskresenskaya;<\/p>\n<\/p>\n

3. Alexander Patyukov.<\/p>\n<\/p>\n
